Project Greenlight Contest- Official Rules
The Project Greenlight Contest (the "Contest") is sponsored by LivePlanet, Inc., 2801 Ocean Park, Santa Monica, CA 90405 ("LivePlanet"), in conjunction with Miramax Film Corp. ("Miramax") (such entities collectively referred to herein as the "Promoter"), and the Project Greenlight World Wide Web site located at http://projectgreenlight.liveplanet.com/ (the "Site"). The Contest consists of two parts -- the Screenplay Contest and the Director Contest -- each of which is described below. These Official Rules apply to both the Screenplay Contest and the Director Contest (collectively referred to herein as the "Contest"). The Contest begins on or about September 19, 2002, 2002 at 12:00 a.m. Pacific Standard Time ("PST") (the "Start Date"), and ends on or about January 17, 2003 (the "End Date") (such period referred to herein as the "Contest Period"), but persons who wish to enter must meet earlier registration/submission deadlines as specified herein. EACH PERSON WHO PARTICIPATES IN THE CONTEST FULLY AND UNCONDITIONALLY AGREES TO COMPLY WITH AND ABIDE BY THESE OFFICIAL RULES AND THE DECISIONS OF THE PROMOTER, WHICH SHALL BE FINAL AND BINDING IN ALL RESPECTS.

I. ELIGIBILITY AND REGISTRATION TO PARTICIPATE IN THE CONTEST.

A. General Eligibility Requirements. The Contest is open only to those legal residents of the United States who reside in one of the fifty (50) United States (other than and except for the state of Vermont) or the District of Columbia (specifically excluding Puerto Rico and all other territories) (the "Eligibility Area"), and who are 18 years of age or older as of the Start Date. Misrepresentation of age, upon discovery by Promoter, will DISQUALIFY the applicable entrant. Directors, officers and employees, and their immediate family members, or those living in the same household as such directors, officers and employees, of LivePlanet, Miramax or Home Box Office, or solely with respect to Live Planet and Miramax, their respective parent companies, affiliates, subsidiaries, agents, advertising/promotional agencies, partners or representatives (collectively, the "Promotion Entities") are not eligible to (i) win prizes or (ii) participate in the Contest in any manner except as expressly provided herein (e.g., reviewing Contest submissions during certain designated stages of the Contest). The Contest is void outside of the Eligibility Area and where prohibited by law. Specifically, due to state law in Vermont, persons residing in Vermont are not eligible to participate in the Contest as "Screenplay Contestants" or "Director Contestants", but are invited to participate as "Reviewers" (as such terms are defined below).

B. Professionals. Persons who have achieved the status of "Professional" (as defined herein) are not eligible to participate as "Screenplay Contestants" or "Director Contestants" in the Contest (although they may participate as "Reviewers") (as such terms are defined below). For purposes of these Official Rules, the term "Professional" shall mean any individual who, as of the Start Date: (i) has received any form of producer credit (e.g., "Executive Producer," "Associate Producer," or "Co-Producer") on any film, series, episode, movie-of-the-week, music video, or mini-series produced for release in theaters or by means of home video, any form of television, or any similar medium; (ii) has received sole or shared writing credit on any film, movie-of-the-week, or mini-series produced for release in theaters or by means of home video, and form of television, or any similar medium; (iii) has received sole or shared directing credit on any film, series, episode, movie-of-the-week, music video or mini-series produced for release in theaters or by means of home video, any form of television, or any similar medium; or (iv) has sold or optioned a feature film screenplay to any U.S. or internationally based film production company, studio, network, exhibitor, distributor, or any entity or individual affiliated therewith.

C. Registration Categories. Beginning on the Start Date, eligible individuals may register at the Site to participate in the Contest as a "Screenplay Contestant", "Director Contestant" or "Reviewer", as each such term is defined below:
  1. "Screenplay Contestant" shall mean an individual or "Writing Team" (as defined herein), or any individual member thereof, who submits a "Screenplay Submission" (as defined herein) for consideration in accordance with these Official Rules;
  2. "Director Contestant" shall mean an individual or "Directing Team" (as defined herein), or any individual member thereof, who submits a filmed "Scene Submission" (as defined herein) for consideration in accordance with these Official Rules;
  3. "Reviewer" shall mean an individual who (a) is neither a Screenplay Contestant nor a Director Contestant and (b) registers to review and rate the "Screenplay Submissions" and "Scene Submissions" that others have submitted for consideration.
Each Contestant will be required to review both Scene Submissions and Screenplay Submissions submitted by other Contestants. Reviewers may review Screenplay Submission(s), Scene Submission(s) or both. See the section on Teams below for further details on participating in the Contest as either a Writing Team or Directing Team. Each individual (either alone or as a member of a Team) may participate in the Contest as either a "Contestant" (either Screenplay Contestant, Director Contestant, or both) or a "Reviewer", but if you submit a Screenplay Submission or Scene Submission and participate as a Contestant, you may not also participate as a Reviewer. For ease of reference, these Official Rules use the term "Registrant" to collectively refer to any individual who registers to participate in the Contest as either a Contestant (either a Screenplay Contestant, Director Contestant, or both) or a Reviewer. Contestants may register and submit entries at any point prior to the conclusion of the Submission Period on October 2, 2002 at 11:59:59pm PST. Reviewers will be able to register throughout the Contest Period.

D. General Registration Requirements/Submission Fee. To be eligible to participate in the Contest, each Registrant will be required to sign up as a member of the Site and choose a user name (referred to herein as "User Name") and password. Each Registrant will be known publicly by his or her User Name, rather than his or her real name, until the later stages of the Contest when Contestant names will be revealed. In addition, at the time of registration, each Registrant will be required to agree to a Participation Agreement, whereby each such Registrant agrees to be bound by all terms and conditions governing the Contest and use of the Site (including, without limitation, these Official Rules, and the Site's Terms of Use), and each Contestant will be required to pay a non-refundable "Submission Fee" in the amount of $30.00 for each Screenplay Submission or Scene Submission entered into the Contest.

E. Teams. Contestants may combine to form teams (each referred to as a "Team") consisting of no more than three (3) individuals. Screenplay Contestants who form a Team shall be known as a "Writing Team". Director Contestants who form a Team shall be known as a "Directing Team". Each individual member of any such Team must satisfy all eligibility requirements set forth herein for Contestants, and each such Team member must register with the Site and agree to the Participation Agreement in order to be considered a member of the applicable Team. Please note that only one Submission Fee is required per Screenplay Submission or Scene Submission, whether such Submission is made by an individual Contestant or a Team. During the submission process, one Team member must make the Screenplay or Scene Submission on behalf of the Team and list the User Names of all Team members. The Team member who makes the Submission on behalf of the Team will be known as the "Team Captain". In the event a Team progresses to further rounds of the Contest, Promoter will attempt to notify the Team through its Team Captain. Each member of the Team, including the Team Captain, shall be deemed to have jointly and severally made and entered into all of the representations, warranties and agreements contained herein and in the Participation Agreement and shall be jointly and severally obligated and bound thereby. Except as otherwise expressly set forth herein, all of Promoter's rights pursuant to these Official Rules relate to and are exercisable against each individual member of the Team. If any right of disqualification arises as to any individual member of the Team, then the right of disqualification may be exercised either as to such individual member of the Team, or to the Team as a whole, as Promoter may elect in its sole discretion. If Promoter elects to disqualify fewer than all members of a Team, then the remaining individuals shall continue to be bound by these Official Rules and the other registration agreements. Without limiting the generality of the foregoing: (i) any Team member who elects to end his or her participation in the Contest, and/or is disqualified from the Contest, will not be permitted to "re-register" to participate in the Contest in any capacity; (ii) if, at any time during the Contest Period, a Team Captain elects to end his or her participation in the Contest and/or is disqualified from the Contest, his or her entire Team may be disqualified from the Contest; and (iii) if, at any time during the Contest Period, any Team member elects to end his or her participation in the Contest and/or is disqualified from the Contest, and refuses to promptly sign any writing deemed necessary by Promoter to permit his or her former Team member(s) to continue to participate in the Contest using the Team's Screenplay or Scene Submission, the entire Team will be disqualified from the Contest. Please also note that disputes between Team members may be grounds for disqualifying the applicable Team or any of its Team members, in Promoter's sole discretion.

II. PARTICIPATING AS A REVIEWER. Each Reviewer must read, review, and rate (using a mechanism made available through the Site and the criteria identified therein) at least one (1) "Screenplay Submission" (as defined herein) or one (1) "Scene Submission" (as defined herein) randomly assigned through the Site. Thereafter, each Reviewer will be permitted to read, review, and rate as many Screenplay Submissions or Scene Submissions as he or she wishes up to a maximum of 15 Screenplay Submissions and 15 Scene Submissions during each of the peer review stages set forth herein, provided that (a) each Reviewer may read, review, and rate any particular Screenplay Submission or Scene Submission only ONCE during a single review period designated in these Official Rules, and (b) each Reviewer may review and rate additional Screenplay Submissions and/or Scene Submissions only after submitting his or her review and rating for the previously-assigned Screenplay Submission or Scene Submission, as applicable. Notwithstanding the foregoing, each Reviewer will be permitted to "decline" an assigned Screenplay or Scene Submission and request the random assignment of a different Screenplay or Scene Submission in the event the originally-assigned Submission is technically unintelligible for any reason. As the Contest progresses, those Contestants who do not advance to subsequent rounds will thereafter be treated, and have the same rights of access, as Reviewers for the balance of the Contest.

III. THE SCREENPLAY CONTEST.

A. Screenplay Submission Requirements. Each screenplay that is entered into the Screenplay Contest must meet ALL of the "Screenplay Submission Requirements" set forth below to be considered (a screenplay that meets all such requirements will be referred to as a "Screenplay Submission"):
  1. The screenplay must be written in the English language;
  2. The screenplay must be written in so-called "industry standard" screenplay format (see or our How To Section for additional details on "industry standard" format) and be no less than eighty (80) pages and no more than one hundred forty (140) pages in length;
  3. The screenplay must be the submitting Screenplay Contestant's original, previously unpublished, and work previously unproduced as a film, movie of the week, mini-series, or otherwise produced for home video, television, paid stage production or similar medium(please note that an adaptation from source material or based on other works will not constitute an eligible Screenplay Submission for purposes of these Official Rules);
  4. The screenplay must be registered with, or, on the date the screenplay is submitted to the Contest, in the process of being registered with, both the United States Copyright Office (see http://www.loc.gov/copyright/forms/) and the Writer's Guild of America (see http://www.wga.org/registration/register-online.html) (each Screenplay Contestant or Writing Team, as applicable, will be required to provide Promoter with documentary proof of such registrations promptly upon Promoter's request);
  5. The screenplay must be written for a live action feature film (e.g., animated feature film screenplays will not be eligible) with a budget of approximately One Million Dollars ($1,000,000), and in Promoter's good faith judgment, must qualify for a rating from the Motion Picture Association of America (http://www.mpaa.org/movieratings/) that is no more restrictive than "R" (any Screenplays that, in Promoter's good faith judgment, violate the foregoing criteria will be disqualified); and
  6. The screenplay must be submitted only in Adobe Acrobat (PDF) format and only through the Site in the manner described on the Site (do not send hard copies via mail, fax, or any other means-they will not be accepted, and there will be NO EXCEPTIONS!). Adobe Acrobat screenplay files must end with the standard Adobe Acrobat file extension, ".pdf", be viewable with Adobe Viewer 4.0 or higher and must not exceed a file size of 750kb. See the How to Section for tips.
A non-refundable Submission Fee in the amount of $30.00 must accompany each Screenplay Submission that is entered into the Contest. Screenplay Contestants must pay the Submission Fee by major credit card prior to the "Screenplay Submission End Date" (as defined below).

For purposes of clarification, a Writing Team needs to submit only one (1) Screenplay Submission on behalf of the entire Writing Team, as opposed to a separate Screenplay Submission for each member of such Writing Team. A Screenplay Contestant or Writing Team may submit more than one (1) Screenplay Submission, but each such Submission must be entered into the Contest separately, and a separate Submission Fee must accompany each Screenplay Submission. Any Screenplay Contestant or Writing Team that is found to have submitted the same screenplay under multiple User Names or aliases will be disqualified from the Contest entirely. Any screenplay that fails to fulfill all of the Screenplay Submission Requirements may be disqualified from the Contest upon Promoter's discovery of such failure (if such failure is discovered upon submission, the applicable screenplay will not be accepted for processing and review, will not be deemed a Screenplay Submission, and will not be entered into the Contest).

B. Screenplay Submission Suggestions. The screenplay should not contain the name(s) of or other identifying information relating to the submitting Contestant or any Writing Team member, as applicable (in other words, Contestants should take their names off the screenplay to insure that they remain anonymous to reviewers).

C. General Rules Regarding The Submission of Screenplays. Screenplay Submissions will be accepted electronically beginning at 12:00 a.m. PST on September 19, 2002, 2002 (the "Screenplay Submission Start Date") and ending at 11:59:59 p.m. PST on October 2, 2002, 2002 (the "Screenplay Submission End Date"). Please note that no changes may be made to a Screenplay Submission after the Screenplay Submission End Date -- to be safe, a Contestant should make certain that his or her Screenplay Submission complies with these Official Rules before submitting it.

D. Judging The Screenplays.

1. Round 1: Reviewing Screenplay Submissions. Starting at 12:00 a.m. PST on October 4, 2002 and ending on or about 11:59:59 p.m. on October 24, 2002 (such period referred to herein as the "Screenplay Round 1 Review Period"), Promoter will randomly assign Screenplay Submissions to Reviewers and Contestants. Screenplay Contestants will be required to read, review, and rate the assigned Screenplay and Scene Submissions in accordance with the following rules: (a) Review by Screenplay Contestants. For each Screenplay Submission submitted by a Screenplay Contestant or Writing Team, as applicable, such Contestant or Team must read, review, and rate (using a mechanism available through the Site and the criteria identified therein) during the Screenplay Round 1 Review Period at least FOUR (4) Screenplay Submissions submitted by other Screenplay Contestants and TWO (2) "Scene Submissions" (as defined herein) submitted by other Director Contestants. When reviewing a submission, each Screenplay Contestant will be able to choose between two (2) or more Screenplay Submissions and/or Scene Submissions randomly assigned through the Site. Once a Screenplay Contestant has reviewed the number of Screenplay Submissions and Scene Submissions required under these Official Rules, such Screenplay Contestant will be permitted to read, review, and rate as many additional Screenplay Submissions and/or Scene Submissions as he, she, or it wishes, up to a maximum of 15 Screenplay Submissions and 15 Scene Submissions (or the number of reviews required, if it greater than 15) during the Screenplay Round 1 Review Period, provided that each Screenplay Contestant may review and rate additional Screenplay Submissions and/or Scene Submissions only after submitting his or her review and rating for the previously-assigned Screenplay Submission or Scene Submission, as applicable. Notwithstanding the foregoing, each Screenplay Contestant will be permitted to "decline" a particular submission and request the random assignment of a different submission in the event the originally-assigned submission is technically unintelligible for any reason. If a Screenplay Contestant or Writing Team, as applicable, does not read, review, and rate at least FOUR (4) Screenplay Submissions and TWO (2) Scene Submissions in accordance with these Official Rules for every Screenplay Submission made by such Screenplay Contestant or Writing Team, then any Screenplay Submission submitted by such Screenplay Contestant or Writing Team for which the review requirements have not been met will be disqualified from the Contest. Reviews will be applied to Submission for purposes of meeting the required number of reviews in the order in which the Submissions were received (i.e., the reviews will be applied to the first submission received until the requirements have been met, reviews will then be applied to the second submission etc). Each Screenplay Contestant may read, review, and rate any particular Screenplay Submission or Scene Submission only ONCE, and no Screenplay Contestant may review or rate his or her or its own Screenplay or Scene Submission. In the event a Contestant is assigned the same Submission more than once, or is assigned his or her own Submission, such Contestant should contact techsupport@projectgreenlight.com to be assigned a different Submission for review.

(b) Round 1: Rating the Screenplay Submissions. Although some Screenplay Submissions may be reviewed more often than others during the Screenplay Round 1 Review Period, Promoter will seek to ensure that the rating that is assigned to each Screenplay Submission at the end of such Period (the "Screenplay Round 1 Rating") is calculated using the same number of reviews for each Screenplay Submission, with such number being the lowest common number of reviews done for any qualifying Screenplay Submissions during the Screenplay Round 1 Review Period, provided however, (i) reviews that were submitted by Contestants or Reviewers who were disqualified before the end of the Screenplay Round 1 Review Period will not be used to calculate the Screenplay Round 1 Rating, (ii) the highest and the lowest rating will be dropped for each Screenplay Submission (unless the lowest common number of reviews is less than 5); and (iii) in the event that a Screenplay Submission has more than the lowest common number of reviews, the reviews that are used to calculate the Screenplay Round 1 Rating will be those completed first.

(c) Determining the Top 250 Screenplays. After the end of the Screenplay Round 1 Review Period on October 24, 2002 at 11:59:59 p.m., Promoter will identify the top Two Hundred and Fifty (250) Screenplay Submissions ("Top 250 Screenplays") based on the Screenplay Round 1 Ratings. The Screenplay Contestants or Writing Teams who submitted the Top 250 Screenplays will deemed the "Top 250 Screenplay Contestants" and will be announced on the Site.

2. Round 2: The Top 250 Screenplays. Starting at 12:00 a.m. PST on October 26, 2002 and ending on or about November 11, 2002 at 11:59:59 p.m., (such period referred to herein as the "Screenplay Round 2 Review Period"), Promoter will randomly assign the Top 250 Screenplays to Reviewers and the Top 250 Screenplay Contestants.

(a) Review by the Top 250 Contestants. Each of the Top 250 Screenplay Contestants will be required to read, review, and rate at least at least THREE (3) of the Top 250 Screenplays in accordance with the procedures set forth in Paragraph III(D)(1)(a) above.

(b) Round 2: Rating the Top 250 Screenplays. Promoter will seek to ensure that the rating that is assigned to each of the Top 250 Screenplays (the "Screenplay Round 2 Rating") is calculated using the same number of reviews for each Top 250 Screenplay, with such number being the lowest common number of reviews done for any of the Top 250 Screenplays during the Screenplay Round 2 Review Period, provided however, (i) reviews that were submitted by Contestants or Reviewers who were disqualified before the end of the Screenplay Round 2 Review Period will not be used to calculate the Screenplay Round 2 Rating, (ii) the highest and the lowest rating will be dropped for each Screenplay Submission (unless the lowest common number of reviews is less than 5); and (iii) in the event that a Top 250 Screenplay has more than the lowest common number of reviews, the reviews that are used to calculate the Screenplay Round 2 Rating will be the reviews completed first.

(c) Determining the Top 50 Screenplays. After the end of the Screenplay Round 2 Review Period on or about November 11, 2002 Promoter will identify the top Fifty (50) Screenplays based on the Screenplay Round 2 Ratings. The Screenplays chosen as the top fifty (50) based on such Ratings will be deemed the "Top 50 Screenplays" and will be announced on the Site, along with the User Names of the corresponding Contestants or Teams who submitted such Top 50 Screenplays (the "Top 50 Screenplay Contestants"). The Five (5) next highest scoring Screenplays will be chosen as alternates (each a "Screenplay Alternate"). Each Screenplay Contestant or Writing Team, as applicable, that is NOT one of the Top 50 Screenplays Contestants or Alternates, will be provided with access to reviews of his, her, or its Screenplay Submission that were submitted up to that date, with access to such reviews provided in an anonymous fashion (i.e., the User Names of the Contestants and Reviewers who submitted such reviews will not be made available).

Those Contestants who are not selected to advance to later rounds of the competition will be eligible to review additional Screenplay Submissions as Reviewers.

3. Round 3: The Top 50 Round. Promoter will attempt to contact the Top 50 Screenplay Contestants, along with the Screenplay Alternates, each of whom may be required at this stage and/or later stages to submit to a confidential background check to help ensure that each such person's continued participation in the Contest will not, in Promoter's sole discretion, bring Promoter into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest, the Promotion Entities or any sponsor of the Contest.

(a) The Top 50 Assignment. To have the opportunity to advance to the next round of the Screenplay Contest, each of the Top 50 Screenplay Contestants must prepare a three (3) minute video (the "Screenwriter Video") introducing the Screenplay Contestant or Team, as applicable, and presenting a synopsis of and/or pitch for the Screenplay Submission. General parameters for the Screenwriter Video will be provided to the Top 50 Screenplay Contestants.

(b) Determining the Top 10 Screenplay Finalists. Promoter will review each of the Top 50 Screenplays, focusing in part on marketability, creativity, adherence to the requirements set forth herein and, the likelihood of being able to produce a film based thereon within a production budget not to exceed one million dollars ($1,000,000), along with the Screenwriter Video, focusing in part on creativity, adherence to any additional requirements conveyed by Promoter when the Screenwriter Video is assigned, and other criteria, including the quality of the Contestant's reviews of other Screenplay and Scene Submissions as well as the results of each background check, to select the "Top 10 Screenplays", with the Screenplay Contestants who submitted such Top 10 Screenplays referred to herein as the "Screenplay Finalists". Promoter will seek to contact each of the prospective Screenplay Finalists to discuss such Screenplay Finalist's rights, responsibilities, and obligations with respect to the Contest, and whether or not each such Screenplay Finalist elects to continue. Each prospective Screenplay Finalist may be required by Promoter to answer additional questions or participate in additional screening procedures and, in order to continue participating in the Contest, will be required to execute a separate "Top 10 Writer Agreement" so as to allow full production and exploitation of the Screenplay Submission as a feature film or television motion picture in any and all media now known or hereafter devised throughout the universe in perpetuity, as will be more fully specified in such Top 10 Writer Agreement. Promoter must timely receive executed copies of the Top 10 Writer Agreement from each prospective Screenplay Finalist, and the failure of any such Screenplay Finalist to execute and timely deliver a Top 10 Writer Agreement to Promoter will disqualify such Screenplay Finalist from participating further in the Contest. The determination of the Screenplay Finalists shall be made by Promoter in its sole discretion, and such determination shall be final and binding.

(c) Finalizing the Top 10 Finalists. Each Screenplay Finalist may elect to end his or her participation in the Contest upon being contacted by Promoter. Each Screenplay Finalist that elects not to continue in the Contest or is disqualified may be replaced in each instance by the Top 50 Screenplay Contestant and/or Screenplay Alternate (as applicable) having the next-highest Promoter evaluation. Each Top 50 Screenplay Contestant or Screenplay Alternate that is not selected to be a Screenplay Finalist will be provided with access to reviews of his, her, or its Screenplay Submission that were submitted up to that date, with access to such reviews provided in an anonymous fashion (i.e., the User Names of the Contestants and Reviewers who submitted such reviews will not be made available).

(d) The Winning Screenplay. Each Screenplay Finalist (i.e. each Screenplay Contestant and/or individual Writing Team member, as applicable) who elects to continue participating in the Contest and signs and timely returns to the required documents to Promoter, will be flown to Los Angeles, California, New York, New York, and/or Park City, Utah to be interviewed by a panel of individual judges with experience in the entertainment industry, as determined by Promoter in its sole discretion (the "Panel"). Based on the results of such interviews and all other criteria taken into account up to that point in the Contest, Promoter will select one (1) "Winning Screenplay Contestant" (which, for clarification, may be a Screenplay Contestant or a Writing Team). The Winning Screenplay Contestant's name(s) and Screenplay Submission (the "Winning Screenplay") will be posted to the Site on or about January 17, 2003, and the Winning Screenplay Contestant will be awarded the Screenplay Grand Prize described below. The determination of the Winning Screenplay shall be made by the Panel in its sole discretion, and such determination shall be final and binding.

E. The Screenplay Grand Prize. The Screenplay Grand Prize will provide the Winning Screenplay Contestant with the opportunity to work with Miramax and LivePlanet to make a feature-length motion picture (the "Film") based on the Winning Screenplay. Subject to availability and contractual or professional commitments, Matt Damon, Ben Affleck, and/or Chris Moore will act as producers and/or executive producers of the Film. The "Winning Director" (as defined herein) will direct the Film. The budget for the Film will be no less than One Million Dollars ($1,000,000). The Winning Screenplay Contestant (i.e. the Screenplay Contestant or each individual Writing Team member, as applicable) will be required to enter into additional agreements, including a separate "Grand Prize Winner Agreement", regarding his, her or their participation and services in connection with the writing and production of the Film. Subject to the satisfaction of the foregoing, the Winning Screenplay Contestant will be awarded the following (collectively, the "Screenplay Grand Prize"): (a) if the Winning Screenplay Contestant is a sole writer, he or she will be awarded $35,000; or (b) if the Winning Screenplay Contestant is a Writing Team, the $35,000 will be split equally among all such Team members. In either case, the amount won shall be payable by Miramax in approximately equal weekly installments over the course of production of the Film. In connection with the Film and the "Project Greenlight Series" (as defined below), the Winning Screenplay Contestant must be willing and available to render full-time, in person services in connection with the production of the Film and the Project Greenlight Series during all periods of pre-production, production, post-production, marketing and distribution thereof (the "Production Period"). Production of the Film and/or Series may require the Winning Screenplay Contestant to travel and temporarily relocate to the location of the production facilities for such Film or Project Greenlight Series (which location may be Los Angeles, California, or any other location in the world) (the "Production Site(s)") during or for the duration of the Production Period. If such relocation is required, the Winning Screenplay Contestant will be provided with a travel and accommodation allowance to be determined by Promoter. Miramax plans to release the completed Film theatrically in the United States in 2003, or at such other time as Miramax determines in its sole discretion to be appropriate. Miramax shall have all approvals and controls over the theatrical release of the Film.

F. The Television Series. Miramax Television and LivePlanet intend to produce a documentary-style television series chronicling the Contest experience from the selection of the Screenplay Finalists through the entire film making process and the release of the Film. The resulting series (the "Project Greenlight Series") is intended to commence its initial telecast cycle in 2003 (or such other time as Promoter may deem appropriate). Each of the Screenplay Finalists (including each individual Team member, as applicable) shall be required to agree in writing to be filmed and/or videotaped and interviewed throughout the production of the Project Greenlight Series, and will be required to enter into additional agreements throughout the remainder of the Contest Period and, as applicable, after the Contest Period ends, regarding their appearance in the Project Greenlight Series.

IV. THE DIRECTOR CONTEST.

A. Scene Submission Requirements. Each scene that is entered into the Director Contest must meet ALL the "Scene Submission Requirements" set forth below to be considered in the Contest (a scene that meets all of the Scene Submission Requirements will be referred to as a "Scene Submission"):
  1. The scene must be performed in the English language;
  2. The scene must be no longer than three minutes in length, including titles, if any;
  3. The scene must not contain the name(s) of or other identifying information relating to the submitting Contestant or any Directing Team member, as applicable (i.e. take your name off the scene);
  4. The scene must be the submitting Director Contestant's original work, but it may be based on, or an adaptation of, a pre-existing work. If the scene is based on or an adaptation of a pre-existing work, the source material must be identified (e.g., if the source material is a movie, provide the name of the movie, the date it was released, and the director; and if the source material is a book, provide the name of the book, the author, and the date the book was first published).
  5. The scene must be a live action sequence (e.g., animated scenes will not be eligible) and must not contain any pornographic or unlawful content or material (any scenes that, in Promoter's sole discretion, violate the foregoing criteria will be disqualified);
  6. The scene must be submitted only in Apple Quicktime electronic format and only through the Site in the manner described on the Site (do not send videocassettes or other hard copies via mail or any other means-they will not be accepted, and there will be NO EXCEPTIONS!). Scene files must end in the standard Quicktime file extension, ".mov" and be viewable with the Quicktime Player Version 4.0 or higher and must not exceed a file size of 10MB . See the How to Section for tips.
A non-refundable Submission Fee in the amount of $30.00 must accompany each Scene Submission that is entered into the Contest. Director Contestants must pay the Submission Fee by major credit card prior to the "Scene Submission End Date" (as defined below).

For purposes of clarification, a Directing Team needs to submit only one (1) Scene Submission on behalf of the entire Directing Team, as opposed to a separate Scene Submission for each member of such Directing Team. A Director Contestant or Directing Team may submit more than one (1) Scene Submission, but each such Scene Submission must be entered into the Contest separately, and a separate Submission Fee must accompany each Scene Submission. Any Director Contestant or Directing Team that is found to have submitted the same scene under multiple User Names or aliases will be disqualified from the Contest entirely. Any scene that fails to fulfill all of the Scene Submission Requirements may be disqualified from the Contest upon Promoter's discovery of such failure (if such failure is discovered upon submission, the applicable scene will not be accepted for processing and review, will not be deemed a Scene Submission, and will not be entered into the Contest).

B. Scene Submission Strong Suggestions
  1. Director Contestants should be able to provide on request all appropriate clearances, permissions and releases for the Scene Submission, including releases from all persons appearing in the scene, location releases for all recognizable locations, and releases from all creative consultants or others who assisted in the creation of the scene. In the event a Director Contestant cannot provide all required releases, Promoter reserves the right, in Promoter's sole discretion, to seek to secure the releases and clearances for Promoter's benefit, or allow the applicable Submission to remain in competition, provided that in such event Promoter will not make such Scene Submission available for general public viewing on the Site, or, if deemed necessary by Promoter to disqualify the applicable Scene Submission.
  2. The scene may contain music. However, in the event the Submission includes music, Director Contestant should be able to provide on request, all appropriate clearances, permissions and releases regarding such music. In the event a Director Contestant cannot provide all such required releases, Promoter reserves the right, in Promoter's sole discretion, to seek to secure the releases and clearances for Promoter's benefit, or allow the applicable Submission to remain in competition, provided that in such event Promoter will not make such Scene Submission available for general public viewing on the Site, or, if deemed necessary by Promoter to disqualify the applicable Scene Submission.
C. General Rules Regarding Scene Submissions. Scene Submissions will be accepted electronically beginning at 12:00 a.m. PST on September 19, 2002 (the "Scene Submission Start Date") and ending at 11:59:59 p.m. PST on October 2, 2002 (the "Scene Submission End Date"). Please note that no changes may be made to a Scene Submission after the Scene Submission End Date -- to be safe, a Contestant should make certain that his or her Scene Submission complies with these Official Rules before submitting it.

D. Judging The Scenes.

1. Round 1: Reviewing Scene Submissions. Starting at 12:00 a.m. PST on October 4, 2002 and ending on or about 11:59:59 p.m. PST on October 24, 2002 (such period, the "Scene Review Period"), Promoter will randomly assign Scene Submissions to Reviewers and Contestants. Director Contestants will be required to read, review, and rate the assigned Scene Submissions and Screenplay Submissions in accordance with the following rules:

(a) Review by Director Contestants. For each Scene Submission submitted by a Director Contestant or Directing Team, as applicable, each such Contestant or Team must read, review, and rate (using a mechanism available through the Site and the criteria identified therein) during the Scene Review Period at least FOUR (4) Scene Submissions, submitted by other Director Contestants and TWO (2) "Screenplay Submissions" (as defined herein) submitted by Writer Contestants. When reviewing a submission, each Director Contestant will be able to choose between two (2) or more Scene Submissions and/or Screenplay Submissions randomly assigned through the Site. Once a Director Contestant has reviewed the required number of Scene Submissions and Screenplay Submissions, such Director Contestant will be permitted to read, review, and rate as many additional Scene Submissions and/or Screenplay Submissions as he, she, or it wishes, up to a maximum of 15 Screenplay Submissions and 15 Scene Submissions during this Scene Review Period, provided that each Director Contestant may review and rate additional Scene Submissions and/or Screenplay Submissions only after submitting his or her review and rating for the previously-assigned Scene Submission or Screenplay Submission, as applicable. Notwithstanding the foregoing, each Director Contestant will be permitted to "decline" an assigned Screenplay or Scene Submission and request the random assignment of a different Screenplay or Scene Submission in the event the originally-assigned Submission is technically unintelligible for any reason. If a Director Contestant or Directing Team, as applicable, does not read, review, and rate at least FOUR (4) Scene Submissions and TWO (2) Screenplay Submissions in accordance with these Official Rules for every Scene Submission made by such Director Contestant or Directing Team, then any Scene Submission submitted by such Director Contestant or Directing Team for which the review requirements have not been met will be disqualified from the Contest. Each Director Contestant may read, review, and rate any particular Screenplay Submission or Scene Submission only ONCE, and no Director Contestant may review or rate his or her or its own Screenplay or Scene Submission. In the event a Contestant is assigned the same Scene Submission more than once, or is assigned his or her own Scene Submission, Contestant should contact techsupport@projectgreenlight.com to be assigned a different Scene Submission for review.

(b) Round 1: Rating the Scene Submissions. Although some Scene Submissions may be reviewed more often than others during the Scene Review Period, Promoter will seek to ensure that the rating that is assigned to each Scene Submission (the "Scene Rating") is calculated using the same number of reviews for each Scene Submission, with such number being the lowest common number of reviews done for any qualifying Scene Submission during the Scene Review Period, provided however, (i) reviews that were submitted by Contestants or Reviewers who were disqualified before the end of the Scene Review Period will not be used to calculate the Scene Rating, (ii) the highest and the lowest rating will be dropped for each Scene Submission (unless the lowest common number of reviews is less than 5); and (iii) in the event that a Scene Submission has more than the lowest common number of reviews, the reviews that are used to calculate the Scene Rating will be those completed first.

(c) Determining the Top 250 Scenes. After the end of the Scene Review Period on or about October 25, 2002, Promoter will identify the top two hundred and fifty (250) Scene Submissions (the "Top 250 Scenes"), based on the Scene Ratings. The Director Contestants or Directing Teams who submitted the Top 250 Scenes will be deemed to be the "Top 250 Director Contestants" and will be announced on the Site. Each Director Contestant or Directing Team, as applicable, that is NOT one of the Top 250 Director Contestants, will be provided with access to reviews of his, her, or its Scene Submission that were submitted up to that date with such access provided, with access to such reviews provided in an anonymous fashion (i.e., the User Names of the Contestants and Reviewers who submitted such reviews will not be made available).

2. Round 2: The Top 250 Scenes. Promoter will attempt to contact each of the Top 250 Director Contestants, and each such Contestant shall be required to (i) prepare the "Filmmaker Video", as set forth below; (ii) submit the Filmmaker Video to Promoter by 5:00 p.m. PST on November 8, 2002; and (iii) submit clearances, permissions and releases for the Filmmaker Video and Scene Submission;

(a) The Top 250 Assignment. To have the opportunity to advance to the next round of the Director Contest, each of the Top 250 Director Contestants must prepare a three (3) minute video (the "Filmmaker Video") introducing the Director Contestant or Directing Team, as applicable. General parameters for the Filmmaker Video will be provided to the Top 250 Contestants. The Filmmaker Video must not make any reference to the Scene Submission.

(b) Rating the Filmmaker Videos. Promoter will review each Filmmaker Video, focusing in part on creativity, adherence to any additional requirements conveyed by Promoter when the Filmmaker Video is assigned, insight, use of visual cues to enhance the Filmmaker Video, and other criteria, to select the top 50 directors ("Top 50 Directors"). The determination of the Top 50 Directors shall be made by Promoter in its sole discretion, and such determination shall be final and binding.

(c) Determining the Top 50 Directors. Promoter will seek to contact each of the Top 50 Directors to discuss such Top 50 Director's rights, responsibilities, and obligations with respect to the Contest, and whether or not each such Top 50 Director elects to continue. Each of the Top 50 Directors may be required by Promoter to submit to a background check at this stage and/or later stages to help ensure that each such Director Contestant's continued participation in the Contest will not, in Promoter's sole discretion, bring Promoter into public disrepute, contempt, scandal or ridicule or reflect unfavorably on Contest, the Promotion Entities or any sponsor of the Contest. If, at this time or at any later point during the Contest, a Directing Team's Team Captain is disqualified from the Contest or is forced or elects to end his or her participation in the Contest, his or her entire Team may be disqualified from the Contest. Each Top 50 Director who elects not to continue in, or is disqualified from, the Contest may be replaced in each instance by the Top 250 Director Contestant having the next-highest Promoter evaluation.

3. Round 3: The Top 50 Round.

(a) Determining the Top 10 Directors. Promoter will review each Scene Submission and Filmmaker Video of each of the Top 50 Directors, focusing in part on marketability, creativity, demonstrated talent, adherence to any additional requirements conveyed by Promoter when the Filmmaker Video is assigned, the quality of reviews submitted, and other criteria including the results of each background check, to select the "Top 10 Directors". In addition, Promoter may provide an independent third party with all reviews submitted during the Contest by each of the Top 10 Directors to confirm that such reviews were submitted in good faith and may take such determination into account in selecting the Top 10 Directors. The determination of the Top 10 Directors shall be made by Promoter in its sole discretion, and such determination shall be final and binding.

(b) Finalizing the Top 10 Directors. Based on the Promoter ratings assigned to each Scene Submission and Filmmaker Video and the other criteria set forth above, Promoter will seek to contact each of the prospective Top 10 Directors to discuss such Top 10 Director's rights, responsibilities, and obligations with respect to the Contest, and whether or not each such Top 10 Director elects to continue. Each prospective Top 10 Director may be required by Promoter to answer additional questions or participate in additional screening procedures, and will be required to execute a separate "Top 10 Director Agreement" in order to continue participating in the Contest. In addition, Promoter reserves the right to conduct a further background check and/or other research on each Top 10 Director, at this stage and/or later stages, to help ensure that each such Top 10 Director's continued participation in the Contest will not, in Promoter's sole discretion, bring Promoter into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest, the Promotion Entities or any sponsor of the Contest. Each Top 10 Director may elect to end his or her participation in the Contest upon being contacted by Promoter. Each prospective Top 10 Director who elects not to continue in, or is disqualified from, the Contest may be replaced in each instance by the Top 50 Director Contestant having the next-highest Promoter evaluation.

4. Round 4: The Top 10 Round.

(a) Top 10 Assignment. To have the opportunity to advance to the next round of the Director Contest, each of the Top 10 Directors must direct and film and submit an additional scene based on a script to be provided by Promoter (the "Top 10 Scene"). To be considered for advancement, the Top 10 Director must submit the Top 10 Scene pursuant to Promoter's instructions no later than January 6, 2003. The Top 10 Directors must also review each of the Top 10 Screenplays in accordance with a modified review form to be provided by Promoter. Such additional reviews must be submitted no later than January 6, 2003.

(b) Rating the Top 10. Promoter will review each Top 10 Scene, focusing in part on creativity, insight, vision, use of visual cues, demonstrated talent, adherence to any additional requirements conveyed by Promoter when the Top 10 Scene is assigned, and interpretation of the given script, as well as the original Scene Submission and the Filmmaker Video, reviews done by each Top 10 Director, including reviews of the Top 10 Screenplays, and the results of each background check, to select the top 3 Directors (each a "Director Finalist"). The determination of the Director Finalists shall be made by Promoter in its sole discretion, and such determination shall be final and binding.

(c) Determining the Director Finalists. Promoter will seek to contact each of the Director Finalist to discuss such Finalist's rights, responsibilities, and obligations with respect to the Contest, and whether or not each such Director Finalist elects to continue. Each Director Finalist may be required by Promoter to answer additional questions or participate in additional screening procedures, and will be required to execute additional agreements regarding continued participation in the Contest. Each Director Finalist may elect to end his or her participation in the Contest upon being contacted by Promoter. Each Director Finalist who elects not to continue in, or is disqualified from, the Contest may be replaced in each instance by the Top 10 Director having the next-highest Promoter evaluation.

(d) The Winning Director. Each Director Finalist (i.e. each Director Contestant and/or individual Directing Team member, as applicable) who elects to continue participating in the Contest and signs and timely returns the required documents to Promoter, will be flown to Los Angeles, California, New York, New York, and/or Park City, Utah to be interviewed by a panel of individual judges with experience in the entertainment industry, as determined by Promoter in its sole discretion (the "Panel"). Based on the results of such interviews, Promoter will select one (1) "Winning Director" (which, for clarification, may be a Director Contestant or a Directing Team). The Winning Director's name(s) will be posted to the Site on or about January 17, 2003, and the Winning Director will be awarded the Director Grand Prize described below. The determination of the Winning Director shall be made by the Panel in its sole discretion, and such determination shall be final and binding.

E. The Director Grand Prize. The Director Grand Prize will provide the Winning Director with the opportunity to work with Miramax and LivePlanet to make a feature-length motion picture (the "Film") based on the Winning Screenplay. Subject to availability and contractual or professional commitments, Matt Damon, Ben Affleck, and/or Chris Moore will act as producers and/or executive producers of the Film. The Winning Director will direct the Film based on the Winning Screenplay. The budget for the Film will be no less than One Million Dollars ($1,000,000). The Winning Director (i.e. the Director Contestant or each individual Directing Team member, as applicable) will be required to enter into additional agreements, including a separate "Grand Prize Winner Agreement", regarding his, her or their participation and services in connection with the production of the Film. Subject to the satisfaction of the foregoing, the Winning Director will be awarded the following (collectively, the "Director Grand Prize"): (a) if the Winning Director is a sole director, he or she will be awarded $50,000; or (b) if the Winning Director is a Directing Team, the $50,000 will be split equally among all such Team members. In either case, the amount won shall be payable by Miramax in approximately equal weekly installments over the course of production of the Film. In connection with the Film and the "Project Greenlight Series" (as defined below), the Winning Director must be willing and available to render full-time, in person services in connection with the Film and the Project Greenlight Series during all periods of pre-production, production, post-production, marketing and distribution thereof (the "Production Period"). Production of the Film and/or the Project Greenlight Series may require the Winning Director to travel and temporarily relocate to the location of the production facilities for such Film or Series (which location may be Los Angeles, California, or any other location in the world) (the "Production Site(s)") during or for the duration of the Production Period. If such relocation is required, the Winning Director will be provided with a travel and accommodation allowance to be determined by Promoter. Miramax plans to release the completed Film theatrically in the United States in 2003, or at such other time as Miramax determines in its sole discretion to be appropriate. Miramax shall have all approvals and controls over the theatrical release of the Film.

F. The Television Series. Miramax Television and LivePlanet intend to produce a documentary-style television series chronicling the Contest experience from the selection of the Director Finalists through the entire film making process and the release of the Film. The resulting series (the "Project Greenlight Series") is intended to commence its initial telecast cycle in 2003 (or such other time as Promoter may deem appropriate). Each of the Director Finalists (including each individual Team member, as applicable) shall be required to agree in writing to be videotaped and interviewed throughout the production of the Project Greenlight Series, and will be required to enter into additional agreements throughout the remainder of the Contest Period and, as applicable, after the Contest Period ends, regarding his, her or their appearance in the Project Greenlight Series.

V. MISCELLANEOUS.
  1. Rules Governing Winners. All taxes (including, without limitation, federal, state, and local taxes) on or connected with any prize (including, without limitation, prizes that are opportunities to make donations to a charitable organization), and the reporting consequences thereof, are the sole and exclusive responsibility of respective winners. As between winners and Promoter, all prize shipping and handling charges will be the responsibility of Promoter. Each winner must, if so requested by Promoter, complete Promoter's online winner verification process and/or execute and return an Affidavit of Eligibility and a Liability/Publicity Release within a period of time dictated by Promoter. Failure to do so may result in disqualification and an alternative winner being selected. All prizes awarded in connection with the Contest are nontransferable and nonendorseable. No substitution of prizes is permitted, except that in the event of the unavailability of any prize other than the Screenplay Grand Prize or Director Grand Prize (as applicable), Promoter reserves the right to substitute a prize of equal or greater value, in its sole discretion.

  2. Publicity Release. By participating in the Contest, in addition to any other grants which may be granted in any other agreement entered into between Promoter and any participant in or winner of the Contest, each Registrant irrevocably transfers, grant and assigns to the Promotion Entities and their respective successors, assigns and licensees, the right to use their videotaped/recorded names, User Names, likenesses, photographs, biographical information and Submissions in any and all media for any purpose including without limitation advertising and promotional purposes as well as on the Miramax, LivePlanet and ProjectGreenlight websites in connection with the Contest and other promotions, and release the Promotion Entities from any liability with respect thereto. In connection therewith, Promoter shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter, the Submissions for any purpose which Promoter deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have therein.

  3. Internet Provisions/Force Majeure. Promoter reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest or the Site; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person. Entries will be deemed VOID if incomplete or illegible. No mechanically reproduced, illegible, incomplete, forged, software generated or other automated multiple entries or reviews will be accepted. Promoter reserves the right to modify, suspend, or terminate the Contest and these Official Rules if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Contest. In the event Promoter is prevented from continuing with the Contest or the production of the Picture by any event beyond its control, including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within the Promoter's control (each a "Force Majeure" event or occurrence), Promoter shall have the right to modify, suspend, or terminate the Contest or the production of the Picture, as applicable.

  4. Dates and Deadlines/Anticipated Number of Contestants. Because of the unique nature and scope of the Contest, and because of the complexity of the technology underlying the administration of the Contest (much of which technology was created specifically for the Contest), Promoter reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest. Promoter cannot accurately predict the number of Contestants who will participate in the Contest, but approximately 10,000 people participated in the first Project Greenlight contest.

  5. Disclaimer of Warranties. The Promotion Entities make no warranties, and hereby disclaim any and all warranties, express or implied, concerning any prize (including, without limitation, the Grand Prize) furnished in connection with the Contest. WITHOUT LIMITING THE FOREGOING, THE CONTEST AND ALL MATERIALS PROVIDED ON OR THROUGH THE SITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The Promotion Entities are not responsible for any incorrect or inaccurate information, reviews, Ratings, or other materials, whether caused or created by Site users, by tampering or "hacking," or by any of the equipment or programming associated with or utilized as part of the Site or the Contest, and Promoter assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, or unauthorized access to the Site. Although Promoter attempts to ensure the integrity of the Contest, Promoter is not responsible for the actions of entrants in connection with the Contest, including entrants' attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Contest. Promoter is not responsible for injury or damage to any Registrant's or to any other person's computer, other equipment, or person related to or resulting from participation in the Contest, or downloading materials from or using the Site.

  6. IMPORTANT. PLEASE READ - GENERAL RELEASE AND LIMITATIONS ON LIABILITY: By entering the Contest, Registrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event will attorneys' fees be awarded or recoverable; and (3) under no circumstances will any Registrant be permitted to obtain any award for, and entrant hereby knowingly and expressly waives all rights to seek punitive, incidental or consequential damages and/or any other damages, other than actual out-of-pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. Each Registrant acknowledges and agrees that the Promotion Entities are not responsible for any costs, injuries, losses, or damages of any kind arising from or in connection with: (i) incomplete, lost, late, misdirected or illegible entries or for failure to receive entries due to any cause, including without limitation human, transmission, or technical problems, failures, or malfunctions of any kind, whether originating with sender, with Promoter, or otherwise, that may limit a Registrant's ability to participate in the Contest or send or receive email notifications requiring action or response by such Registrant; (ii) any injury or damage resulting from participation in the Contest and/or the use of any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to, loss or destruction of property, or any claims, costs, injuries, losses, or damages related to or based on the entrant's rights of publicity or privacy, or the entrant's claim that he or she has somehow been defamed or portrayed in a false light).

  7. Copyright. In the event of a dispute where a given Screenplay or Scene Submission is deemed to have been submitted by two (2) or more separate Contestants or Teams, without limiting Promoter's rights and remedies, the Contestant that first submitted the Screenplay or Scene will be deemed the proper entrant. If you believe in good faith that any other material hosted on the Site infringe(s) your copyright, please see and follow the complaint procedures set forth in the Site's Terms of Use. In the event of any such dispute at any time during the Contest Period, Promoter reserves the absolute right to remove from the Site or block access to any Screenplay or Scene Submission, and to take whatever actions Promoter may deem necessary or appropriate in its sole and absolute discretion to protect the operation and integrity of the Contest and the Site, including, without limitation, disqualifying the Contestant(s) that submitted such Submission.

  8. Governing Law/Arbitration. This Agreement, the rights and obligations of the Parties, and any claims or disputes relating in any way thereto shall be governed by and construed in accordance with the internal laws of the State of California, without regard to its choice of law principles which would require application of the laws of another jurisdiction. Any dispute between the Parties arising out of or relating to this Agreement shall be submitted to binding arbitration. The arbitration will be conducted in accordance with the American Arbitration Association's Commercial Arbitration Rules as modified by the terms of this Agreement. The arbitration shall take place in Los Angeles, California before a single arbitrator, selected pursuant to such rules, and shall be conducted on an expedited basis and in strict confidence. The arbitrator selected pursuant to these Official Rules shall be well acquainted with the entertainment, Internet, and new media industries, and shall not have the power to impose punitive damages. Each party hereby waives any and all rights and benefits which it might otherwise have or be entitled to under federal law or the laws of California or any other state to litigate any such dispute in court, it being the intention of the parties to arbitrate all such disputes. The arbitrator's decision shall be controlled by the terms and conditions of these Official Rules, and any other agreements the applicable Registrant may have entered into with Promoter in connection with the Contest, and shall be final and binding, and shall provide for each party to bear its own costs of arbitration and attorneys' fees. EACH PARTY EXPRESSLY WAIVES ANY RIGHT TO A JURY. Judgment upon the award of the arbitrator may be entered or enforced in any court of competent jurisdiction. If either party shall fail to appear at the hearing on the date designated in accordance with the rules of the American Arbitration Association, or shall otherwise fail to participate in the arbitration proceeding, the arbitrator is hereby empowered to proceed ex parte. In the event of any dispute concerning these Official Rules, the Site's Terms of Service or Privacy Policy, or any other agreement between the applicable Registrant and Promoter in connection with the Contest, Registrant's sole and exclusive remedy shall be to seek damages pursuant to an arbitration authorized by this Paragraph, and in no event will any entrant be entitled to seek injunctive or other equitable relief. If you do not agree to these requirements (or any other provision herein), do not participate in the Contest.
  9. Representations and Warranties/Indemnification. Each Registrant who makes any submission or submits any review in connection with this Contest, whether as a Contestant, a Team Member, or a Reviewer, represents and warrants to Promoter as follows: (i) the submission or review, as applicable, is the Registrant's own original, previously unpublished, and previously unproduced work, and that each review has been created solely by such Registrant; (ii) the submission is wholly original with Registrant and as of the date of submission, is not the subject of any actual or threatened litigation or claim; (iii) the submission or review, as applicable, neither infringes upon nor violates the intellectual property rights or other rights of any other person or entity; (iv) the submission or review, as applicable, does not and will not violate any applicable laws, and is not and will not be defamatory, libelous, pornographic, or obscene; (v) the submission or review, as applicable, will be fair, impartial, and in good faith, and will comply with these Official Rules (including, without limitation, requirements related to sportsmanship) and the requirements set forth in any other agreement Registrant may enter into with Promoter; and (vi) the submission or review, as applicable, will not contain any "viruses" or other information, code, or material(s) that may damage or otherwise interfere with the Contest, Promoter's computer systems or data, or the computer systems or data of any other person or entity. Each Registrant hereby agrees to indemnify and hold the Promotion Entities harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of Registrant hereunder.
  10. Privacy. Information submitted in connection with the Contest will be treated in accordance with these Official Rules and the Site's Privacy Policy, provided that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail.
  11. Invalidity/Headings. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings and captions are used in these Official Rules solely for convenience of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.
  12. Winners List. After the end of the Contest Period, the names of the Contestants who comprised the Top 10, and Finalists, and the name(s) of the Winning Director Contestant and the Winning Screenplay Contestant will be posted to the Site.
